CORPORATE SECRETARIAL ASSISTANT
About the job:
Overview of the Role
Working in the London office as part of the European corporate team, the corporate secretarial assistant will assist with corporate office matters across Brookfield Renewable’s European operations, as well as providing support in relation to corporate secretarial matters across Brookfield’s other European operations in Real Estate, Infrastructure and Private Equity as required.
Key responsibilities include (a) European entities management including board governance, documenting funds flows, coordinating internal reorganizations, minute book records maintenance and other corporate secretarial matters, and (b) assisting with platform compliance matters and providing support on various matters to the legal team.
More specifically, the corporate secretarial assistant will have the following responsibilities:
coordinate and execute all European corporate processes
manage other entities in the European platform including preparation of meeting materials, (notices, agendas and resolutions), distribution of meeting materials, preparation of minutes etc. (with support from an external service provider for non-UK entities)
managing the documentation and process for the flows of funds for the European platform including capital contributions, dividends, returns of capital and distributions, in coordination with other teams (finance, treasury, tax)
document transfers of interests, implement changes to director and officer slates; draft special approvals and powers of attorney
organise notary meetings to notarise and apostille various documents such as power of attorneys, agreements
responsible for legal document management, filing and recordkeeping
maintain European organization charts and legal entities lists in coordination with the Toronto corporate team of Brookfield Renewable
assist with corporate disclosure, compliance and regulatory filings in coordination with the Toronto corporate team of Brookfield Renewable
research corporate law matters as required
Coordinate ONS Surveys
provide support to legal teams as required.
Compliance and other matters
Assist with maintenance of lobbying registers and similar compliance records
Assist with annual Code of Conduct certification processes and organizing ABC and other compliance training sessions
Assist with data protection matters including maintenance of data protection records in line with the GDPR
Assist the legal team with KYC/AML requests, non-reliance letters, closings and similar processes in connection with transactional activities.
Experience independently drafting complex resolutions, managing corporate processes as well as handling minute book maintenance
Attention to detail and thoroughness
Organized, flexible, able to manage several priorities and work under tight deadlines
Ability to work in a collaborative manner both inside and outside the organization
Ability to deal effectively with external service providers
Knowledge of Diligent Entities (Blueprint).
Corporate secretarial qualifications and experience
Experience of working in a fast-paced and dynamic law firm or corporate department.
